1. Owner and acceptance

These Terms govern access to and use of Ruum (hereinafter, "the Service"), whose owner is Daniel Gil Alegre (self-employed), NIF/NIE 71364447R, address at Calle Ramón Menéndez Pidal 7, 09002 Burgos (Spain), email info@ruum.es. By registering or using the Service, you accept these Terms, the Legal Notice and the Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Ruum is a SaaS platform for professionals and companies in the construction and renovation sector that allows users to create, manage and share construction quotes structured by projects, chapters, line items, resources, measurements, companies, clients and collaborators, as well as to organise documentation and communication with clients.

The Service is offered, in its current phase, with free initial use. In the future it may incorporate paid plans, artificial intelligence features, a template marketplace, aggregated analytics and mobile applications, which may have specific conditions.

3. Requirements and account registration

To use the Service you must register with an email address and a password, or via the sign-in methods that are enabled (e.g. third-party identity providers). You undertake to provide truthful information and keep it up to date, and to safeguard your credentials. You are responsible for the activity carried out from your account. Notify us of any unauthorised use at security@ruum.es.

4. Company accounts, team and collaborators

The Service allows you to create company accounts, invite team members and collaborate with other companies on projects. The owner of the company account is responsible for:

• Managing the access, roles and permissions of the people they invite.
• Ensuring they have a legitimate basis to enter third-party data (clients, collaborators) into the Service.
• The use that their team and collaborators make of the Service.

With respect to the personal data of third parties that the owner enters, Ruum acts as processor in accordance with the DPA.

5. Acceptable use

You undertake not to:

• Use the Service for unlawful purposes or purposes contrary to these Terms.
• Enter data over which you have no right or legitimate basis.
• Infringe the rights of third parties (including intellectual property).
• Attempt to access systems, data or accounts of others without authorisation.
• Carry out reverse engineering, except to the extent permitted by law.
• Overload, damage or interfere with the operation of the Service, or circumvent its security measures.
• Resell or exploit the Service without authorisation.

6. User content and data ownership

Your data is yours. You retain ownership of all the content you enter into the Service (projects, quotes, measurements, templates, documents, client data, etc.). Ruum does not claim ownership of such content.

You grant us a limited, non-exclusive, worldwide licence to host, process, reproduce and display your content solely for the purpose of providing you with the Service and its features (for example, generating quotes, sharing proposals, making backups). This licence ends when you delete the content or close your account, except for temporary backups and legal retention obligations.

You are responsible for the legality, accuracy and suitability of the content you enter.

7. Licence for aggregated data and market intelligence

With your explicit consent (opt-in), which is disabled by default and which you can withdraw at any time, you authorise us to use the data derived from your activity to generate aggregated and anonymised statistics and, where applicable, aggregated reports that may be marketed to third parties in the sector.

This authorisation is subject to the commitments detailed in the Privacy Policy, including:

• Individual-level data, complete quotes, named company or client information, or individual exact prices are never marketed.
• Only aggregates that meet a minimum threshold of 5 participants (10 in low-density areas or niches) are published.
• Once anonymised, the data ceases to be personal and falls outside the scope of the GDPR.

If you do not give this consent, you will be able to use the Service as normal.

8. Plans, prices and payments

The Service currently has free initial use, with no credit card required. Paid plans, their prices and features will be those published at the relevant time on ruum.es/precios.

When payments are enabled, the following will apply (future conditions, subject to development):

• Payment methods. Depending on the plan and country, the following may be offered: Stripe Checkout, PayPal, card (credit/debit), SEPA direct debit / bank account, Apple Pay, Google Pay and Bizum. For Enterprise clients, manual invoicing (payment by transfer against invoice) may be offered.
• Processing. Payments are processed through external payment providers. Stripe manages, among others, Stripe Checkout, card, SEPA direct debit, Apple Pay, Google Pay and Bizum; PayPal manages PayPal payments. Ruum does not store the full details of your card or bank account; these are handled by the payment provider.
• SEPA direct debit. If you choose direct debit, you will authorise a SEPA mandate that allows amounts to be charged to the indicated account, in accordance with the payment provider's conditions.
• Enterprise invoicing. Under the manual invoicing method, amounts will be paid by transfer according to the conditions agreed in the corresponding invoice or contract.
• Subscriptions and refunds. Subscriptions, their periodicity, renewal, cancellation and the refund policy will be detailed in the plan conditions or in a specific Subscription and Refund Policy.
• Prices are understood without prejudice to the applicable taxes (e.g. VAT).

9. Availability, support and Service changes

Ruum makes reasonable efforts to keep the Service available, but does not guarantee uninterrupted availability or the absence of errors. We may carry out maintenance tasks, as well as modify, add or remove features to improve the Service. In its current phase, the Service is offered without a formal service level agreement (SLA).

10. Suspension and cancellation

• You may cancel your account at any time.
• Ruum may suspend or cancel access, in whole or in part, in the event of a breach of these Terms, fraudulent or unlawful use, or by legal requirement.
• After cancellation, your data will be processed in accordance with the Privacy Policy (including the deletion period).

11. Warranties and limitation of liability

The Service is provided "as is" and "as available". To the extent permitted by law:

• Ruum does not guarantee that the Service will meet all your needs or that it will work without interruptions or errors.
• Ruum is not responsible for the accuracy or the technical or legal validity of the quotes and documents you generate; it is you, as a professional, who is responsible for their content.
• Ruum will not be liable for indirect damages, loss of profit, loss of data or loss of business opportunities.
• Towards professional users, Ruum's total liability is limited, where applicable, to the amounts actually paid for the Service in the 12 months prior to the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded, or the rights that correspond to consumers.

12. Data protection

The processing of personal data is governed by the Privacy Policy, the Cookie Policy and, for third-party data entered by the professional user, by the DPA.

13. Minors

The Service is aimed exclusively at professionals and companies and is not directed at persons under 18 years of age. If a company authorises access for a worker aged 16 or 17 who is legally entitled to work, the company that owns the account is responsible for such access. The Service is not designed for use by children or adolescents.

14. Modifications to the Terms

Ruum may modify these Terms to reflect legal or Service changes. The version in force is the one published on the site, with its update date. If the changes are substantial, you will be informed by reasonable means. Continued use of the Service after they come into force implies acceptance.

15. Applicable law and jurisdiction

These Terms are governed by Spanish law. For professional users, the parties submit to the Courts and Tribunals of Burgos, unless a mandatory rule provides otherwise. Where the user has the status of consumer, the jurisdiction and protective regulations that legally correspond to them shall apply.
